Welcome to SoulSearch.ai (“SoulSearch,” “we,” “us,” or “our”), operated by Agentic Labs LLC. These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile apps, and related services (collectively, the “Services”).

By creating an account or using SoulSearch.ai, you agree to these Terms.

If you do not agree, you must not use the Services.

1. Eligibility

To use SoulSearch.ai, you must:

• Be at least 18 years old

• Have the legal capacity to enter into a binding agreement

• Not be prohibited from using online dating services under applicable laws

By using SoulSearch.ai, you represent and warrant that you meet these requirements.

2. Your Account

Registration

You must create an account to use SoulSearch.ai. You agree to provide accurate, current, and complete information and to update it as needed.

Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activities under your account

• Notifying us immediately of unauthorized access

We reserve the right to suspend or terminate accounts for violations of these Terms.

3. User Conduct

You agree not to use SoulSearch.ai to:

• Engage in harassment, threats, hate speech, or abusive behavior

• Upload or share sexually explicit, violent, or illegal content

• Impersonate others or create fake profiles

• Spam, scam, or solicit money from users

• Promote commercial products or services

• Collect or harvest personal data from other users

• Violate intellectual property rights

• Attempt to bypass security features or access unauthorized areas

We may monitor interactions to protect users and maintain safety.

4. User Content

Ownership

You retain ownership of the content you create (“User Content”).

License to Us

By using the Services, you grant SoulSearch.ai a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• Host, store, display, reproduce, modify, adapt, and distribute User Content

• Use User Content to operate, improve, and promote the Services

This license ends when you delete your content or your account, except where:

• Copies persist in backups or

• Content was already shared with other users

Prohibited Content

You may not upload:

• Nudity or sexual content involving minors (zero tolerance)

• Discriminatory, hateful, or violent content

• Content that infringes intellectual property

• Malware or harmful code

5. Matches, Messaging, and Interactions

SoulSearch.ai provides algorithms for matching and recommendations, but:

• We do not guarantee the accuracy of matches

• We are not responsible for interactions between users

• You are solely responsible for your communications and decisions when meeting others

Use caution and follow safety guidelines when interacting with people online or in person.

6. Paid Features & Subscriptions

Some features require payment (“Premium Services”).

Billing

• Payments are processed by third-party providers.

• Prices, taxes, and fees are shown at checkout.

Auto-Renewal

Subscriptions automatically renew unless canceled before the renewal date. You may cancel via your App Store, Google Play account, or SoulSearch settings.

Refunds

Except as required by law:

• All purchases are final and non-refundable, including partial subscription periods.

App Store and Google Play have their own refund processes.

7. Safety and Security

We implement security measures, but we cannot guarantee absolute protection.You agree not to rely solely on SoulSearch for identity verification or safety.

Report suspicious users or activity to support@agenticlabs.ai.

8. Intellectual Property

SoulSearch.ai and all related logos, designs, trademarks, and software are owned by Agentic Labs LLC.

You may not:

• Copy, modify, distribute, sell, or reverse-engineer our Services

• Use automated tools (bots, scrapers) without permission

9. AI Features

SoulSearch.ai may use AI to:

• Suggest matches

• Generate recommendations

• Enhance chat responses

• Moderate content

• Detect fraud

AI may produce imperfect or probabilistic outputs. You agree not to rely solely on AI-generated suggestions for personal decisions.

10. Third-Party Links

The Services may contain links to third-party sites or services we do not control. We are not responsible for their content, policies, or practices.

11. Disclaimers

SoulSearch.ai is provided “as is” and “as available”, without warranties of any kind, including:

• Fitness for a particular purpose

• Accuracy of matches

• Availability of uninterrupted service

• Safety or conduct of other users

We disclaim liability for:

• User-generated content

• Loss or damage resulting from interactions with other users

• Technical errors, downtime, or data loss

12. Limitation of Liability

To the fullest extent permitted by law, Agentic Labs LLC is not liable for:

• Indirect, incidental, punitive, or consequential damages

• Lost profits, data, or reputation

• Personal injury or emotional distress arising from your use of the Services

Our total liability shall not exceed the amount you paid to us in the past 12 months.

Some jurisdictions do not allow certain limitations; those terms apply only where legally valid.

13. Indemnification

You agree to indemnify, defend, and hold harmless Agentic Labs LLC, its employees, contractors, and affiliates from claims arising from:

• Your use of the Services

• Your violation of these Terms

• Your User Content

• Your interactions with other users

14. Termination

We may suspend or terminate your access at any time, with or without notice, if you:

• Violate these Terms

• Harm or risk harm to users or the platform

• Engage in fraudulent or illegal activities

You may delete your account at any time.

Upon termination:

• Your license to use the Services ends

• We may retain certain data as required by law or for legitimate business purposes

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Arbitration Agreement

You agree to resolve disputes through binding arbitration rather than court litigation, except for small claims or injunctive relief.

No Class Actions

You waive the right to participate in class actions or class-wide arbitration.

16. Changes to These Terms

We may update these Terms periodically.

We will notify you of significant changes via email or in-app notice.

Continued use of the Services after updates constitutes acceptance.
